Service

Founderz.Life is an AI-native platform designed to help founders build in public, distribute progress across social channels, document execution, engage communities, and access eligible capital pathways. The Services may include, without limitation: • founder profiles and public activity feeds • live streaming and recorded content • automated or semi-automated content distribution tools • execution dashboards, milestones, and KPI tracking • community engagement features • FNDR points, rankings, and reputation mechanics • challenge, collaboration, and opportunity boards • stablecoin-enabled or other digital payment interfaces • access controls for founder rounds, campaigns, or participation opportunities • integrations with third-party wallets, payment providers, social platforms, media platforms, and AI tools • AI Founders and other reality-show, accelerator, incubator, or partner-program integrations Founderz.Life is a technology platform. Unless explicitly stated in a separate written agreement, Founderz.Life does not act as your broker, dealer, funding portal, investment adviser, legal adviser, tax adviser, fiduciary, escrow agent, bank, custodian, or issuer of securities.

To use the Services, you must: • be at least 18 years old • have legal capacity to enter into a binding contract • comply with all laws applicable to you • not be barred from using the Services under any applicable law, sanctions regime, or regulatory restriction You may use the Services only for lawful purposes and only on your own behalf unless a separate written agreement authorizes organizational or representative use.

You may need to create an account to access some or all features. You agree to: • provide accurate, current, and complete information • maintain the security of your login credentials • promptly update your information if it changes • accept responsibility for all activity under your account We may restrict one account per individual unless we expressly allow otherwise. You may not: • create accounts using false identity information • impersonate any person or entity • sell, transfer, rent, or share your account • create multiple accounts to manipulate visibility, points, rankings, campaigns, or platform access We may suspend, restrict, or terminate accounts that violate these Terms or create legal, security, trust, or integrity risks.

Founderz.Life is built around visible execution. By using founder-facing features, you understand and agree that: • your profile, content, milestones, activity history, and related execution signals may be visible to other users, partners, media entities, or the public depending on your settings and the feature design • content you publish may be distributed through integrated channels, including your linked social accounts, where enabled by you or by the feature you activate • your execution history may be organized into dashboards, activity records, performance summaries, or public proof-of-work views • Founderz may preserve records of activity for operational, security, legal, audit, fraud-prevention, moderation, or platform-integrity purposes You are solely responsible for what you publish, stream, distribute, claim, or represent through the Services.

Founderz.Life may assign FNDR points, badges, levels, rankings, visibility scores, reputation indicators, execution metrics, or similar internal scoring mechanisms. You acknowledge and agree that: • FNDR points and similar systems are platform reputation mechanisms, not money, not securities, not stored value, and not property • they may be based on activity, consistency, engagement, milestones, contribution quality, collaboration, moderation outcomes, or other internal signals • we may change, recalculate, reset, limit, suspend, or remove points, formulas, labels, tiers, weights, or visibility effects at any time • points or scores do not guarantee funding, ranking position, media placement, partnership, promotion, access, success, or economic value • any attempt to game, falsify, inflate, or manipulate the system may result in disqualification, removal, account restriction, or legal action Founderz retains sole discretion over the design and operation of its reputation systems.

Founderz.Life may enable founders, communities, partners, or eligible participants to access founder rounds, campaigns, commitments, support programs, or other capital-related opportunities. You understand and agree that: • Founderz provides a platform interface and related tooling only • Founderz does not guarantee that any founder will raise capital • Founderz does not guarantee that any user will be permitted to participate in any round or campaign • any capital access feature may be restricted by geography, eligibility, accreditation, suitability, KYC, AML, sanctions screening, or other legal or platform requirements • Founderz may use third-party providers to facilitate identity verification, payments, wallet connections, compliance checks, transaction processing, or campaign administration • Founderz does not recommend, endorse, or verify the investment quality of any founder, company, project, campaign, token, stablecoin, or opportunity unless explicitly stated otherwise in writing You are solely responsible for your own due diligence.

Nothing on Founderz.Life constitutes investment advice, legal advice, tax advice, accounting advice, a recommendation to buy, sell, hold, back, support, or fund any person, company, asset, token, or opportunity, or an offer to sell or the solicitation of an offer to buy securities in any jurisdiction where such offer or solicitation would be unlawful. Founder profiles, KPIs, streams, dashboards, FNDR points, social signals, AI-generated outputs, community commentary, and media coverage are provided for informational purposes only. Any participation in founder rounds, capital pathways, campaigns, token-related activity, or other financial activity is undertaken entirely at your own risk.

The Services may integrate with stablecoins, wallets, blockchain networks, payment processors, or digital asset infrastructure. You acknowledge and agree that: • blockchain and digital asset transactions may be irreversible • network congestion, smart contract bugs, wallet compromise, protocol failure, stablecoin depegging, third-party failure, sanctions restrictions, or regulatory changes may affect your use of the Services • Founderz does not control public blockchains • Founderz is not responsible for gas fees, validator behavior, chain forks, wallet breaches outside our control, or third-party infrastructure failures • unless expressly stated otherwise in writing, Founderz does not custody your digital assets • you are solely responsible for reviewing wallet addresses, transaction details, permissions, approvals, and counterparties before confirming any transaction

Founderz.Life may use AI systems to assist with content generation, scoring, moderation, summarization, recommendation, verification, risk review, social distribution, or analytics. You acknowledge and agree that: • AI outputs may be incomplete, inaccurate, biased, delayed, or misleading • AI-generated or AI-assisted outputs do not replace your own judgment • we may use automated systems to detect fraud, spam, manipulation, abuse, policy violations, or low-quality content • we may modify, label, limit, demote, or remove content based on human or automated review You remain responsible for all final decisions you make using AI-supported features.

Founderz.Life may integrate with AI Founders or other media, reality-show, accelerator, incubator, or entertainment formats. If you participate in any such program through Founderz.Life, you understand and agree that: • your profile, content, live streams, milestones, founder activity, and related materials may be used in connection with the production, promotion, distribution, editing, marketing, and commercialization of those programs • additional release forms, appearance agreements, production terms, or partner terms may apply • media exposure, selection, ranking, editing, story treatment, or public reception are not guaranteed • Founderz may use platform activity as part of selection, formatting, or presentation decisions These Terms supplement, and do not replace, any separate production or participation agreement you may sign.

You may not use the Services to: • commit fraud or misrepresentation • create fake traction, fake users, fake metrics, fake engagements, or fake endorsements • impersonate founders, investors, collaborators, brands, or public figures • harass, threaten, dox, abuse, exploit, or defame others • post unlawful, infringing, deceptive, hateful, or sexually explicit content • upload malware, malicious code, or harmful scripts • scrape the platform without authorization • manipulate dashboards, rankings, points, leaderboards, or rounds • use bots or multiple accounts to inflate reach or signal • violate export controls, sanctions laws, AML rules, securities laws, consumer-protection rules, advertising rules, or privacy laws • use Founderz.Life for illegal fundraising or unlicensed financial activity • interfere with the integrity, security, or performance of the Services We may investigate violations and take any action we consider appropriate, including warning, removal, demotion, suspension, termination, reporting, clawback of benefits, or legal action.

"User Content" means any content you upload, publish, stream, submit, send, display, link, or otherwise make available through the Services. You retain ownership of your User Content, subject to the rights you grant to us in these Terms. By using the Services, you grant Founderz a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify, adapt, distribute, publish, display, perform, analyze, index, excerpt, promote, and otherwise use your User Content to operate and improve the Services. You represent and warrant that you own or control all rights needed for your User Content, it does not infringe third-party rights, and it is not false, misleading, or unlawful.

If you use public founder features, participate in campaigns, or submit public content, you grant Founderz the right to reference your name, username, likeness, brand, company name, logos, public metrics, and public founder activity for editorial, promotional, and commercial purposes connected to the Services. If you do not want your name or brand used in marketing materials beyond normal platform operation, you must obtain a separate written agreement with us.

Founderz.Life may connect to or rely on third-party services, including social media platforms, payment processors, wallet providers, blockchain networks, KYC/AML vendors, identity verification vendors, AI providers, cloud providers, analytics providers, media or streaming services, and accelerator or reality-show partners. We do not control those services and are not responsible for their acts, omissions, availability, security, or terms. Your use of third-party services may be governed by separate terms between you and those providers.

Founderz may charge fees now or in the future for certain features, subscriptions, rounds, campaigns, distributions, integrations, promotions, analytics, premium tools, or transactions. Unless otherwise stated: fees are non-refundable; network and gas fees are separate; payment processor, banking, card, spread, conversion, or blockchain fees may also apply; we may withhold or offset amounts in cases of fraud, reversals, chargebacks, sanctions issues, disputes, or violations of these Terms.

You are solely responsible for determining and paying any taxes arising from your use of the Services, including taxes connected to founder support, payments, digital assets, stablecoins, rewards, compensation, referrals, or campaign participation. Founderz does not provide tax advice.

All rights in the Services, including software, design, dashboards, branding, trademarks, graphics, interfaces, data structures, scoring frameworks, documentation, and platform content other than User Content, are owned by Founderz or its licensors. You may not copy, reproduce, reverse engineer, modify, distribute, sell, lease, or create derivative works from the Services except as expressly permitted by us in writing. "Founderz.Life," "Founderz," and related names, logos, taglines, and marks are protected and may not be used without permission.

We may, but are not required to, review, monitor, investigate, flag, limit, remove, or disable any content, account, campaign, profile, or transaction. We are not obligated to publish, maintain, or continue hosting any content or feature.

We may suspend, restrict, or terminate your access immediately if you breach these Terms, create legal or regulatory risk, engage in fraud, deception, abuse, or manipulation, compromise platform security or trust, or if we are required to do so by law, court order, regulator, or sanctions obligation. You may stop using the Services at any time. Sections that by their nature should survive termination will survive, including ownership, licenses, disclaimers, limitations of liability, dispute resolution, and indemnification.

The Services are provided "as is" and "as available." To the maximum extent permitted by law, Founderz disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and quiet enjoyment.

You assume all risks arising from use of the Services, including risks related to startups and early-stage companies, public execution and reputational exposure, digital assets and stablecoins, blockchain technology, third-party wallet and payment failures, inaccurate or manipulated user claims, market volatility, scams, vaporware, founder failure, business failure, or fraud, AI errors or moderation errors, and legal and regulatory changes. You are solely responsible for your own decisions.

To the maximum extent permitted by law, Founderz and its affiliates, officers, directors, employees, contractors, licensors, partners, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or any loss of profits, revenues, goodwill, data, digital assets, business opportunity, or reputation. To the maximum extent permitted by law, total aggregate liability will not exceed the greater of: (a) the total amount you paid to Founderz in the 12 months preceding the event, or (b) USD $100.

You agree to indemnify, defend, and hold harmless Founderz and its affiliates, officers, directors, employees, contractors, licensors, and partners from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising out of or related to your use of the Services, your User Content, your violation of these Terms, your violation of law, your fraud, negligence, deception, or misconduct, your infringement of any third-party rights, or any dispute between you and another user or third party.

Your use of the Services is also governed by our Privacy Policy. By using the Services, you consent to the collection, use, storage, disclosure, and processing of information as described in that policy.

We may modify the Services or these Terms at any time. If we make material changes, we may provide notice through the platform, by email, or by other reasonable means. Your continued use of the Services after the effective date of updated Terms constitutes acceptance of the revised Terms.

These Terms are governed by and shall be construed in accordance with the laws of England and Wales, without regard to conflict-of-law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales, located in London, England. To the extent permitted by law, any dispute will be brought only in an individual capacity and not as a plaintiff or class member in any purported class action or representative proceeding.

These Terms constitute the entire agreement between you and Founderz.Life regarding the Services and supersede any prior agreements. If any provision is held invalid, the remaining provisions remain in full force. You may not assign your rights under these Terms without our prior written consent. The English version of these Terms prevails if translated.
